The Illinois Assumed Business Name Act 805 ILCS 405 requires that individuals doing business under an assumed name or any name other than the real name of the business owners, must file a certificate with their County Clerk registering their business name and the real names of the owners. This act applies only to sole proprietorships and general partnerships.

REGISTERING A NEW ASSUMED BUSINESS NAME
1.  Complete a Certificate Of Registration Of Ownership Of Business available at the link below.

2.  File the Certificate, along with a $5 filing fee with the Will County Clerk’s Office In Person or By Mail:

     Attn: Assumed Business Name
     302 N. Chicago St.
     Joliet, IL 60432

3.  Publish the filed Certificate in a Will County newspaper of general circulation within 15 days of the initial filing of the Certificate with the Will County Clerk. More information is provided at the link below.

4.  Submit a Certificate of Publication from the newspaper to the Will County Clerk within 50 days of the initial filing of the Certificate with the Will County Clerk.

5.  Receive a Certificate of Ownership of Business and Receipt of Publication from the Will County Clerk.

CERTIFICATE OF ASSUMED BUSINESS NAME INSTRUCTIONS

CHANGING AN EXISTING REGISTRATION
1.  Complete a Certificate Of Change And/Or Addition if:

  • The home address or business address of any registered owner of the business has changed.
  • Any registered owner of the business had a legal name change.
  • The existing owner wishes to add an additional owner to the registration.

2.  Complete the same filing and publication process as indicated beginning in Step 2 for Registering a New Assumed Business Name.

Note that the business name itself cannot be changed – a new registration must be completed.

CERTIFICATE OF CHANGE AND/OR ADDITION NOTICE INSTRUCTIONS

CANCELLING A REGISTRATION OR WITHDRAWING A NAME FROM THE REGISTRATION
1.  Complete a Supplementary Certificate Of Cancellation Or Withdrawal Of Name If:

  • Ownership in the business in its entirety is being cancelled.
  • One or more names are being withdrawn from the registration of ownership.

2.  File the certificate, along with a $1.50 filing fee, with the Will County Clerk’s Office.

3.  Publication of the Supplementary Certificate is required only when the change is a withdrawal that constitutes at least 25 percent of total ownership. Follow the same publication guidelines as indicated for a new registration.

MONTHLY LISTING OF ASSUMED BUSINESS NAME REGISTRATION
Each month a list of all business owners who have filed their initial registration with the Will County Clerk’s Office is posted at the link below. Inclusion on these lists only verifies that these owners have completed the initial Certificate of Registration of Ownership of Business. It does not confirm that they have completed the registration or publication process, been issued a final receipt of registration, or that the business has not been modified, withdrawn from, cancelled or voided since the initial filing.
